1.Introduction

WellbornSpecial Utility District (“District”) is soliciting Statements ofQualifications (“SOQs”) from qualified engineering firms interested inproviding professional engineering services to the District.

TheDistrict intends to establish a pool of prequalified engineering firms toprovide services on an as-needed basis under a Master Services Agreement (MSA)with project-specific task orders.

TheDistrict anticipates selecting approximately five (5) to eight (8) firms,although the District reserves the right to select more or fewer firms based onthe qualifications received.

Selectionof engineering services will be conducted in accordance with the TexasProfessional Services Procurement Act (Texas Government Code Chapter 2254)based on demonstrated competence and qualifications.

Issuanceof this RFQ does not obligate the District to award any contract.

2.District Background

WellbornSpecial Utility District provides potable water service in Brazos and RobertsonCounties, Texas.

TheDistrict currently serves approximately 10,300 connections through an extensivewater system consisting of approximately 500 miles of distribution pipeline.

Watersupply sources include:

• Groundwater from the Simsboro Aquifer
• Groundwater from the Yegua-Jackson Aquifer
• Surface water from the Navasota River
• Purchased water from the City of Bryan

Majorsystem infrastructure includes:

• One (1) surface water treatment plant
• Seven (7) groundwater wells
• Six (6) elevated storage tanks
• Eight (8) pump stations
• Approximately 500 miles of distribution pipeline

TheDistrict is currently constructing three additional groundwater wells andassociated transmission infrastructure to support continued growth andlong-term system reliability.

3.Scope of Engineering Services

TheDistrict seeks engineering firms capable of supporting a wide range of waterutility engineering services.

Firmsmay submit qualifications for one or more of the following service categories.

PotentialService Categories

• Surface Water Treatment Facilities
• Groundwater Wells and Production Facilities
• Elevated and Ground Storage Tanks
• Pump Stations and Pump House Improvements
• Transmission and Distribution Pipelines
• Water System Rehabilitation and Replacement Projects
• Permitting and Regulatory Compliance
• Development Review, Plat Review, and Utility Planning Support
• GIS Mapping, Data Management, and Asset Management
• SCADA Systems and Electrical Engineering
• Grants and Funding Assistance (including Texas Water Development Board programs)
• Construction Phase Services and Construction Administration
• Long-Range System Planning and Capital Improvement Planning
• System Modernization, Digitization, and Asset Management Programs

TheDistrict may evaluate and rank firms separately within each service categorybased on qualifications.

4.Anticipated Project Types

Engineeringservices may include projects such as:

• Surface water treatment plant upgrades or expansion
• Construction of new elevated storage tanks
• Transmission and distribution system rehabilitation
• Pump station and pump house upgrades to increase system production
• System modernization and digitization initiatives
• Asset management program development
• Planning and infrastructure improvements to support regional growth

TheDistrict reserves the right to initiate additional projects during the contractterm.

5.Contract Structure

Selectedfirms will enter into a Master Services Agreement (MSA) with the District.

Keyprovisions include:

• Two-year contract term
• Work authorized through project-specific task orders
• Compensation negotiated individually for each assignment

TheDistrict may maintain agreements with multiple firms simultaneously.

Nominimum amount of work is guaranteed.

TheDistrict reserves the right to continue utilizing its current consultingengineer while also engaging additional qualified firms as appropriate.

6.Task Order Selection Process

Whenengineering services are required, the District may utilize one of thefollowing methods to select a firm from the qualified pool:

• Direct Selection

TheDistrict may select a firm based on expertise, availability, past performance,and project type.

• Proposal Request

TheDistrict may request proposals from two or more qualified firms for a specificproject.

Proposalsmay include:

· Proposedproject approach

• Key personnel
• Project schedule
• Preliminary scope of work

TheDistrict will then negotiate scope and fees with the most qualified firm inaccordance with Texas Government Code Chapter 2254.

7.Statement of Qualifications Requirements

Submittalsshould be concise, well organized, and clearly demonstrate the firm'squalifications.

Submittalsshould not exceed 30 pages, excluding resumes and required forms.

• Firm name and address
• Office location(s) relevant to District work
• Primary contact person
• Service categories for which the firm is submitting qualifications

• History and background of the firm
• Organizational structure
• Office locations serving the region
• Experience providing services to Texas utilities or special districts

RelevantProject Experience

Providedescriptions of similar projects including experience with:

• Water utilities
• Special Utility Districts
• Municipal Utility Districts
• Surface water and groundwater systems
• Regional water systems

ProjectTeam

Identifykey personnel proposed to serve the District.

Include:

• Texas Professional Engineer licenses
• Relevant project experience
• Resumes of key staff

ServiceCategory Expertise

Describethe firm's experience and capabilities in each service category for whichqualifications are submitted.

Regulatoryand Funding Experience

Describeexperience with:

• TCEQ regulatory permitting
• Texas water utility compliance requirements
• Texas Water Development Board funding programs
• Other applicable state or federal infrastructure funding programs

ProjectDelivery Approach

Describethe firm’s approach to:

• Project management
• Communication with District staff
• Responsiveness and availability
• Construction phase services

References

Provideat least three (3) references from utilities or public entities for whomsimilar services have been performed.

Litigationand Claims Disclosure

Providedisclosure of any professional liability claims or litigation within the pastfive (5) years.

10.Insurance Requirements

Selectedfirms must maintain the following minimum insurance coverage:

ProfessionalLiability Insurance: $1,000,000 per claim
Commercial General Liability: $1,000,000 per occurrence
Automobile Liability: $1,000,000 per occurrence
Workers Compensation: As required by Texas law

Additionalinsurance requirements may be specified in the Master Services Agreement.

11.Legal Requirements

Respondingfirms must comply with all applicable laws including:

• Texas Government Code Chapter 2254
• Texas Board of Professional Engineers licensing requirements
• Texas conflict of interest disclosure laws
• Form 1295 Certificate of Interested Parties requirements

Respondentsshould not rely on verbal communications with District staff or board membersregarding this solicitation.

Contactwith District board members regarding this RFQ during the solicitation processmay be grounds for disqualification.

13.District Rights

TheDistrict reserves the right to:

• Accept or reject any or all submissions
• Request additional information from respondents
• Conduct interviews
• Negotiate contracts with one or more firms
• Establish and maintain a pool of qualified engineering firms
• Assign work based on expertise, availability, and project needs
• Continue utilizing the District’s current consulting engineer

Issuanceof this RFQ does not commit the District to award any contract.
