The Departmentanticipates the need for legal services in connection with the issuance ofbonds and compliance with the ongoing disclosure requirements of SEC Rule15c2-12, at any time and from time to time during the term of the contract atthe request of the Department, as well as with respect to documentation andother legal considerations related to the Program. Bond/Securities Disclosure Counsel (“OutsideCounsel”) is expected to assign those attorneys and professionals employed bythe firm who are best suited to appropriately respond to such requests inconnection with the issuance of bonds and mortgage credit certificates and withongoing compliance of any/all trust indentures and other documents and agreementsintegral to the issuance of such bonds, mortgage credit certificates and the TBAProgram. The firm will provide any suchservices as Outside Counsel, which includes, but is not limited to preparationand/or review (as may be appropriate for single and multifamily transactions)of all official statements and offering documents of the Department inconnection with bond issues being sold into the public market, as well asdisclosure related to SEC Rule 15c2-12 for new or outstanding bond issues. Outside Bond/Securities Disclosure Counselwill work in conjunction with Single Family/Multifamily Bond and Tax Counsel asinstructed by the Department.
