Texas Department of Housing and Community Affairs(TDHCA) anticipates the need for legal services in connection with theissuance of bonds and the protection and enforcement of assets pledged to bondtrust estates, including second mortgage loans originated under the Program, atany time and from time to time during the term of the contract at the requestof the Department, as well as with respect to documentation and other legalconsiderations related to the Program. Bond Counsel (“Outside Counsel”) is expected to assign those attorneysand professionals employed by the firm who are best suited to appropriatelyrespond to such requests in connection with the issuance of bonds and mortgagecredit certificates, with ongoing compliance of any/all trust indentures, includingenforcement of pledged assets, and other documents and agreements integral to theoperation of the Program, including as relates to second mortgage loansrepresenting down payment assistance provided through the Program. The firm willprovide any such services as Outside Counsel, unless otherwise instructed bythe Department and will work in conjunction with Single Family/Multifamily Bond Tax Counsel as instructed bythe Department.
