Outside Legal Counsel for Information Technology Matters

Introduction: The Healthand Human Services Commission (HHSC) is soliciting responses from qualified lawfirms interested in representing the Health and Human Services Commission(HHSC) in complex information technology matters in accordance with therequirements stated in this Request for Qualifications (RFQ).

Scope of Work: OutsideCounsel will work with the Health and Human Services Commission (HHSC) toprovide specialized legal services regarding complex information technology(IT) matters. Matters may include advising on draft documents, negotiations,and compliance review of software licensing agreements. Selected OutsideCounsel will deliver targeted, efficient legal support on technology-relatedlegal issues—such as intellectual property, data security, and artificialintelligence—as well as risk management strategies and specialized negotiationsupport to ensure best-value procurement.

ContractTerm: The initial term of the Contract will be from the date of execution ofthe OCC through August 31, 2027.

Notwithstandingthe limitation in the preceding paragraph and with at least thirty (30)calendar days’ advance written notice to Contractor, at the end of the initialterm or any extension period, HHSC, in consultation with OAG, may extend theContract as necessary to ensure continuity of service, for purposes oftransition, or as otherwise determined by HHSC to serve the best interest ofthe State. Any extension would continue at the then-current contract rate orrates (if applicable) as modified during the Contract Term. Any extensionbeyond the initial term of the Contract is at the discretion of OAG. Contractextensions, if approved, must be by written amendment to the Contract andsigned by all parties.

Optional/ Pre-proposal Conference

HHSCPCS will hold the pre-proposal conference via Microsoft Teams on the date andtime set out in Section 3.1 (Schedule of Events).
